• Using our applications contrary to applicable laws and regulations, or in a way that causes, or may cause, harm to the application, to Jay Softworks, or to any person or business entity.
• Engaging in any data mining, data harvesting, data extracting, or any other similar activity in relation to our applications, or while using our applications.
• Using our applications to engage in any advertising or marketing without Jay Softworks' prior written consent.

Certain areas of our applications are restricted from being accessed by you and Jay Softworks may further restrict access by you to any areas of our applications, at any time, in its absolute discretion. Any user ID and password you may have for our applications are confidential and you must maintain confidentiality as well.

Your Content

In these Terms and Conditions, “Your Content“ shall mean any audio, video, text, images, or other material you choose to display on our applications. By displaying Your Content, you grant Jay Softworks a non-exclusive, worldwide, irrevocable, royalty-free, sublicensable license to use, reproduce, adapt, publish, translate, and distribute it in any and all media.

Your Content must be your own and must not be infringing on any third party’s rights. Jay Softworks reserves the right to remove any of Your Content from our applications at any time, and for any reason, without notice.

Limitation of Liability

To the fullest extent permitted by applicable law, Jay Softworks shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use our applications; (b) any conduct or content of any third party on our applications, including without limitation, any defamatory, offensive or illegal conduct of other users or third parties; (c) any content obtained from our applications; or (d) unauthorized access, use or alteration of your transmissions or content.

In no event shall Jay Softworks' aggregate liability for all claims related to our applications exceed one hundred U.S. dollars (U.S. $100.00) or the amount you paid Jay Softworks, if any, in the last six months for the services giving rise to the claim, whichever is greater.

This limitation of liability section shall apply to the fullest extent permitted by law in the applicable jurisdiction and shall survive any termination or expiration of these Terms or your use of Jay Softworks' applications or services.

Indemnification

You hereby agree to indemnify, defend, and hold harmless Jay Softworks and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys' fees, arising from or relating to your use or misuse of our applications or services, or your breach of these Terms and Conditions. This indemnification obligation will survive the termination or expiration of these Terms and your use of Jay Softworks' applications or services.

Furthermore, you agree to indemnify Jay Softworks against any claims or legal proceedings that may arise from your use of our applications or services, or as a result of any violation of these Terms and Conditions, or any violation of the rights of a third party or the law by you.

Jay Softworks reserves the right to amend, modify, or replace these Terms and Conditions at any time as it sees fit, and by using our applications you are expected to review such Terms on a regular basis to ensure you understand all terms and conditions governing use of our applications. Continued use of our applications after any such changes shall constitute your consent to such changes.

Entire Agreement

Governing Law & Jurisdiction
